Terms and Conditions of Sale/Service
Acceptance
Acceptance by the Customer of any quote or sale confirmation from PAMOIR or service request by the Customer is expressly limited to these Terms & Conditions of Sale and Service (referred to herein as the “Terms & Conditions”). Acceptance of a quote, a sale confirmation, service request, or submission of a credit application referencing these Terms & Conditions (whether by express acceptance, issuance of a purchase order or other confirmation, or acceptance of the subject goods or services) shall constitute acceptance by the Customer of these Terms & Conditions. The Customer requests that PAMOIR sells products, equipment, services—including repair services and/or parts—in consideration of which the Customer and PAMOIR agree as follows:
Order Confirmation
NO ORDERS OR SALE CONFIRMATIONS SHALL BE EFFECTIVE UNLESS APPROVED BY PAMOIR AT ITS HEADQUARTERS. NO ORDERS OR SALE CONFIRMATIONS SHALL BE ACCEPTED BY, OR BINDING UPON, PAMOIR UNLESS APPROVED BY WRITTEN OR ELECTRONIC CONFIRMATION.
Quotations
Pricing is valid for sixty (60) days.
New part numbers quoted (typically starting with “PMR”) will be assigned permanent numbers during design.
Refer to “Delivery Dates” for additional terms.
Unless otherwise stated, hoses, fittings, and brackets are not included.
The total minimum order value is $50.00.
Customer Purchase Order
All sales are made under these Terms & Conditions exclusively, which supersede any Customer purchase order terms. Any response by PAMOIR is a counteroffer under these Terms & Conditions, accepted when the Customer accepts shipment. Verbal purchase orders or missing order numbers do not exempt payment.
Payment Terms
Customer shall pay the full invoiced amount per the applicable payment terms. Special terms may apply if approved by PAMOIR based on credit rating and order specifics.
Safety Devices
Customer acknowledges potential hazards in operating PAMOIR products without recommended safety devices. PAMOIR disclaims liability for damages resulting from such use.
Only trained operators should use the equipment, and all safety measures outlined by PAMOIR must be followed. Non-compliance voids all warranties and indemnifies PAMOIR against related liabilities.
Collection Costs, Applicable Law, Jurisdiction & Venue
If legal action is required for collection or enforcement, the Customer agrees to pay PAMOIR all costs incurred, including attorneys’ fees and litigation expenses.
Returns
PAMOIR accepts returns for both defective and non-defective products. Please note that a 20% restocking fee may apply to non-defective returns and certain individual orders.
All return requests must be initiated within 30 days of delivery, and returned items must be in new, unused condition with all original packaging and components included.
To begin a return, please contact us with your order number and the word “RETURN” in the subject line. Our team will review your request and provide further instructions, including information regarding the return shipping label.
Once the returned item is received and inspected, refunds will be processed within up to 14 business days. The final refund amount may be adjusted to reflect any applicable fees or deductions.
Security Interest & Insurance
Customer grants PAMOIR a security interest in all purchased items until full payment is received. Customer must insure goods against all risks during this period. Claims must be assigned to PAMOIR up to the unpaid balance.
Delivery Dates
All delivery dates are estimates and subject to:
Current workload
Receipt of full order details (e.g., drawings, deposit)
Account setup time
Delays beyond two business days for drawing approval
Supply chain or shipping delays
PAMOIR is not liable for delays or unavailability. Customer waives all claims for direct, incidental, or consequential damages.
Delivery & Inspection
Customer must inspect products immediately upon delivery for quantity and visible defects. Discrepancies must be reported promptly.
Installation & Commissioning
Customer is responsible for uncrating, placement, and connection. Installation is not included unless expressly agreed.
Limited Product Warranty
A. Coverage
PAMOIR warrants its standard and custom products (including parts from third-party manufacturers) to be free from defects in material and workmanship at delivery.
Warranty Period: 12 months (or 90 days for wear items).
Claims must be submitted within the warranty period and items returned at Customer’s expense for inspection.
B. Limitations
THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. PAMOIR IS NOT LIABLE FOR SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
Warranty excludes damage from misuse, improper installation, or unauthorized repairs.
C. Process
Warranty service is primarily via phone. If a defect is verified, charges will be waived.
Overdue Accounts
Accounts past due are subject to credit holds. Repeated delinquencies may result in “COD Only” status.
Designs
All designs used in fulfilling orders remain the sole property of PAMOIR unless otherwise agreed in writing.
Technical Advice
Technical advice is provided as a courtesy and at the Customer’s risk. PAMOIR disclaims all liability and warranties related to such advice unless arising from willful misconduct. All technical advice is provided without any warranty.
Return Material Authorization (RMA)
Returns must be authorized within 30 days of receipt. An RMA number and completed form are required. Items returned without an RMA may be refused.
No credit after 90 days
Restocking fee: Greater of 20% or $50.00
Custom items are non-returnable
Cancellation Charges
Canceled custom orders are subject to charges covering all expenses to date plus a reasonable profit margin. Engineering time is billed per PAMOIR’s published service rates.
Freight Terms
All freight terms are Ex Works (EXW).
Entire Agreement
These Terms & Conditions, along with PAMOIR’s Quote, Sales Order Acknowledgement, and Invoice, form the entire agreement. No oral modifications are valid unless in writing and signed by both parties. In the event of conflict, these Terms & Conditions shall prevail.
Governing Law, Jurisdiction, and Arbitration
All sales are governed by the laws of the State of Illinois. All disputes shall be heard in Cook County, Illinois, with exclusive jurisdiction therein.
Disputes may be settled by arbitration per the American Arbitration Association’s Commercial Rules, and the arbitration shall occur in Cook County, Illinois
